PRACTICE EMPHASIS
Adam is a trial lawyer. Adam's practice focuses on commercial litigation, real estate, business development, finance, and transactions. Adam primarily serves as Outside General Counsel for various businesses in Arizona.
As Outside General Counsel, Adam coordinates and oversees:
- Commercial contracts, licensing agreements and strategic transactions;
- Corporate governance, board and shareholder resolutions, consents, director meetings, shareholder meetings, and minutes;
- Government licensing and inquiries;
- Capital raises;
- Mergers and acquisitions;
- Counseling officers and directors on fiduciary duties and strategic considerations;
- Employment matters, including hiring, retention, termination, policies, and handbooks;
- Executive compensation, including stock options, restricted stock agreements, and equity and non-equity based incentive compensation;
- Trademark, tradename, and other intellectual property protection;
- Litigation, arbitration, mediation, and risk management;
- Real estate purchases, development, and commercial leasing;
- Privacy and data security;
- Planning and zoning;
- Supervision or evaluation of local or special counsel; and,
- Special projects.

Adam's clients have included: car dealerships, banks, universities, insurance companies, tech startups, real estate developers, restaurants/bars, churches, licensed contractors, lenders/financiers, title/escrow companies, engineers, farmers/ranchers, franchisors, governmental education departments, manufacturers and patent holders, commercial landlords/tenants, creditors/debtors in bankruptcy, and real estate professionals.
